The “base” version of this document is a clean copy of the document that you forwarded to me from Halff. One of the items we discussed was the ownership of the plans the Halff prepares (Article V). The attorney for Halff, Dan Tanksley, had revised the document to provide that the Town would receive a license for the plans, would have the right to use them, but would not own them. In a telephone conversation this afternoon, I mentioned to Dan that the Town wants ownership of the plans, and the language has been revised as had been originally proposed. Regarding the indemnity provision, I have asked David Metzler with our office to review the indemnity clause changes, and am waiting for his comments, which I hope to have asap (so there may be other changes to that provision). As I mentioned earlier, the insurance provisions need to be reviewed by Randy Moravec’s office. For example, there is a provision that the Town be named as an additional insured with respect to general liability and automobile liability; but could the Town also be named as an additional insured on the employers liability insurance? Please review the description of the services being provided (Article II) to determine if they are sufficient. Thanks. John
