I made several changes and additions to the Agreement and incorporated Slade's suggestions. John, while in China, was able to review the Agreement, made some additional edits, and had a few suggestions: 1. The Agreement needs to be subject to City Manager and City Attorney review. 2. We need to have a map/diagram and description of the Premises and the School to show where the improvements that the Town is to make and maintain are located. 3. We need to include a description of the uses that the Town can make of the Premises. 4. Regarding the “Existing Encumbrances” article (Article VIII), consider whether or not, if the District terminates the Agreement within a certain period of time (e.g., 5 years) after Addison has performed its work and improvements to the site, that the District would be required to reimburse Addison a pro rata portion of what Addison spent.
